TERMS AND CONDITIONS OF SERVICE
BACKGROUND
These Terms and Conditions of Service set out the terms under which Services are sold and provided by Us through Our Site. Please read these Terms carefully and ensure that you understand them before ordering any Services. You will be required to read and accept these Terms when ordering Services. If you do not agree to comply with and be bound by these Terms, you will not be able to order Services through Our Site. These Terms, as well as any and all Contracts, are in the English language only.
1. INTERPRETATION
1.1 Definitions
1.2 “Academy” means the Samuel Leeds Academy, a 12-month personal property investment mentorship and consultancy programme supplied by Us.
1.3 “BWWP” means the Building Wealth With Property programme, a live two-day virtual property training programme supplied by Us.
1.4 “Commencement Date” means, in respect of the Academy, the date on which We issue written confirmation of approval of your application from Dubai, UAE, from which your Academy membership period runs. In respect of BWWP and the Financial Freedom Challenge, it means the date of successful payment.
1.5 “Company”, “We”, “Us”, “Our” means Samuel Leeds For Real Estate Consultancies LLC, Trade Licence No. 1552286, registered at AL MARARR, Building 2, Office 102, Dubai, UAE.
1.6 “Contract” means the agreement between you and Us for the supply of Services in accordance with these Terms.
1.7 “Customer”, “you”, “your” means the individual or entity purchasing Services from Us.
1.8 “Dealsourcr” means a separate third-party property deal sourcing platform in which the Company holds a minority investment. Dealsourcr is operated independently by its own management team under its own terms and conditions.
1.9 “Deal Connect” means a separate property deal marketing service operated by Samuel Leeds Ltd under its own terms and conditions. Deal Connect is not part of the Academy membership.
1.10 “Financial Freedom Challenge” means the four-day live coached property implementation programme supplied by Us.
1.11 “Intellectual Property Rights” means patents, rights to inventions, copyright and related rights, moral rights, trade marks and service marks, business names and domain names, rights in get-up and trade dress, goodwill and the right to sue for passing off or unfair competition, rights in designs, database rights, rights to use and protect the confidentiality of confidential information (including know-how and trade secrets) and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world.
1.12 “Networking Pass” means the Property Investors Networking Pass supplied separately by Samuel Leeds Ltd.
1.13 “Portal” means the online Academy membership platform and app through which members access mentoring, resources, and community features.
1.14 “Price” means the price payable by you for the Services as set out at the point of purchase.
1.15 “Samuel Leeds Ltd” means Samuel Leeds Limited, a company incorporated in England and Wales, which operates as an independent contractor to the Company and supplies the Networking Pass and certain UK-based services.
1.16 “Services” means the Academy, BWWP, Financial Freedom Challenge, and any other services supplied by Us as described in these Terms.
1.17 “Site” means www.samuelleeds.com.
1.18 Interpretation
1.18.1 Unless expressly provided otherwise, a reference to legislation or a legislative provision is a reference to it as amended, extended or re-enacted from time to time and shall include all subordinate legislation made from time to time under that legislation or legislative provision.
1.18.2 Any words following the terms including, include, in particular, for example or any similar expression shall be construed as illustrative and shall not limit the sense of the words, description, definition, phrase or term preceding those terms.
1.18.3 A reference to writing or written includes email but not fax.
2. ABOUT THE COMPANY AND PLACE OF SUPPLY
2.1 The Company is incorporated in Dubai, UAE, and operates from its registered office in Dubai. The Company's core mentorship, consultancy, and training services are managed and approved from Dubai, UAE, and are delivered by or under the direction of UAE-based professionals.
2.2 The Company's position is that the core consultancy, mentorship, and live training services are supplied from the United Arab Emirates, reflecting the way the Services are managed, approved, and delivered.
2.3 Certain UK-based membership benefits — including the Property Investors Networking Pass — are supplied separately by Samuel Leeds Ltd, a company incorporated in England and Wales. Samuel Leeds Ltd is an independent contractor and is not a party to this Contract. Its services are governed by its own separate terms and conditions and English law. Samuel Leeds Ltd is responsible for accounting for UK VAT on the Property Investors Networking Pass under its own UK VAT registration.
3. BASIS OF CONTRACT — ACADEMY
3.1 All purchases of Academy membership are subject to formal approval by the Company from its registered office in Dubai, UAE.
3.2 A legally binding Contract between you and the Company in respect of the Academy is formed only upon the Company issuing written confirmation of approval from Dubai. Until such approval is issued no binding Contract exists, notwithstanding that payment may have been received.
3.3 The Academy approval process operates as follows:
(a) You complete payment via Our Site or payment link.
(b) You receive an automated acknowledgement confirming your payment has been received and that your application is under review.
(c) A director of the Company based in Dubai reviews and formally approves your application, ordinarily within 24 to 48 hours.
(d) Upon approval you receive written confirmation from Dubai. The date of that written approval confirmation is your Commencement Date.
3.4 In the event that the Company does not approve an application, you will be notified in writing and a full refund will be issued within 7 days. The Company reserves the right to decline any application at its sole discretion without being required to give reasons.
3.5 No Academy Services will be delivered and no Portal access will be granted prior to the Commencement Date.
3.6 The Company may update these Terms from time to time. Updated Terms will apply to new purchases made after the date of update. Your existing Services will continue to be governed by the Terms in force at your Commencement Date.
3.7 Depending on your country of residence, you may have statutory cancellation rights in respect of distance or online purchases. Where you request immediate access to Services, live sessions, digital resources, Portal access, or mentoring during any statutory cooling-off period, you acknowledge that performance of the Services may begin immediately and that your cancellation rights may be affected to the extent permitted by applicable law. Nothing in these Terms limits any mandatory consumer rights you have that cannot be excluded by contract. If you have questions about your statutory rights please contact us before purchasing.
4. BASIS OF CONTRACT — BWWP AND FINANCIAL FREEDOM CHALLENGE
4.1 For the Building Wealth With Property programme and the Financial Freedom Challenge, where purchases are made directly through Our online checkout following a live webinar or online event, a Contract is formed and access is granted automatically following successful payment. No individual director approval step is required for these purchases.
4.2 All such purchases are made directly with the Company from its registered office in Dubai, UAE. The Contract is between you and the Company as a UAE entity. These Terms apply in full to all such purchases.
5. THE SAMUEL LEEDS ACADEMY
5.1 What the Academy Is
5.1.1 The Samuel Leeds Academy is a 12-month personal property investment mentorship and consultancy programme. It is a live mentorship and consultancy programme built around personal guidance, real mentors, practical support, implementation, and a serious community of people taking action.
5.1.2 The Academy is not a passive online course. The heart of the Academy is live guidance, real people, and implementation. Supporting reference materials, tools, and resources are provided through the Portal to supplement the live mentoring and consultancy sessions. They are not the Academy itself.
5.2 Core Academy Components
5.2.1 The core Academy membership is supplied by the Company and includes:
(a) Personal Business Planning Session — your first step on the Academy is a mandatory personal one-to-one business planning session in which we review your goals, experience, current position, and the strategy most suited to you.
(b) Unlimited One-to-One Mentoring — ongoing live mentoring sessions with experienced property mentors, bookable through the Portal whenever you need guidance. There is no monthly limit on sessions. We operate a fair use policy to protect quality and access for all members.
(c) Live Mastermind Sessions — weekly live group sessions hosted by Samuel, Russell, and experienced property mentors covering strategy, deal review, mindset, business growth, finance, and property market updates. Samuel's Sunday Night Mastermind is hosted live from Dubai.
(d) Financial Freedom Challenges — live four-day coached property implementation programmes as further described in clause 7.
(e) Power Team Access — live educational mentoring sessions bookable with experienced professionals from Samuel's network including solicitors, mortgage brokers, chartered accountants, surveyors, and project managers. Power Team sessions are educational mentoring sessions only. They do not constitute formal legal, tax, mortgage, surveying, valuation, financial, or regulated advice unless separately agreed in writing with the relevant professional under their own separate professional terms.
(f) Deal Review and Rate My Deal — live educational mentoring sessions in which our team helps you understand the numbers, assumptions, risks, and due diligence questions relating to potential property opportunities. The Company does not value property, approve transactions, recommend that you buy or sell any specific property, or make investment decisions for you. All investment decisions remain yours alone.
(g) Rate My Call — you can submit recordings of property-related calls for feedback and coaching on your communication and negotiation approach.
(h) Article 4 Checker — a reference tool to check Article 4 designation by postcode for informational purposes.
(i) Samuel Intelligence — a support and reference tool available at the bottom of the Portal screen. Samuel Intelligence helps members navigate the Portal, find relevant resources, and identify the right mentor or support for their needs. It is supplementary and is not a substitute for live mentoring. It does not constitute personal mentorship, personalised advice, or regulated advice of any kind.
(j) Samuel Social — a private member community platform exclusively for Academy members.
(k) Supporting Reference Resources — access to supporting training materials, reference guides, and property document templates through the Portal to supplement the live mentoring and consultancy sessions.
5.3 Nature of Supporting Resources
5.3.1 Access to supporting training resources, reference materials, tools, and the Samuel Intelligence support feature provided through the Portal is included as supplementary material to support members' live mentoring and consultancy sessions.
5.3.2 These resources are supplementary to and do not constitute the primary subject matter of this consultancy programme. Members are not purchasing access to digital content. Members are purchasing a live personal property investment mentorship and consultancy programme delivered from Dubai, UAE, by experienced property professionals.
5.4 Separately Available Services
5.4.1 The following services may be available to Academy members but are entirely separate from the Academy membership and are not included in the Academy price:
(a) Quote My Refurb — an educational desktop refurbishment cost guidance feature. You submit property photos and videos and receive an indicative cost guide based on the information provided. Any figure provided is indicative only and is not a formal quotation, valuation, survey, scope of works, building specification, or professional advice. You must verify all refurbishment costs with your own contractor, surveyor, or professional adviser before relying on them.
(b) Samuel Leeds Finance — a separate lending business operated by Samuel Leeds Finance Ltd under its own terms, lending criteria, and approval process. Any application to Samuel Leeds Finance is entirely separate from this Contract and subject to Samuel Leeds Finance Ltd's own terms. The Company makes no representation that finance will be available or approved.
(c) Deal Connect — a separate property deal marketing service operated by Samuel Leeds Ltd. Deal Connect enables members to list property deals for marketing to Samuel's investor network in exchange for a commission. Deal Connect operates under its own separate terms and conditions and is not part of the Academy membership.
5.5 Separately Supplied Third-Party Membership Benefits
5.5.1 Academy members may receive access to the following separate third-party benefits. These benefits are not supplied by the Company and are governed by the relevant supplier's own terms:
(a) Property Investors Networking Pass — supplied by Samuel Leeds Ltd, a company incorporated in England and Wales. The Networking Pass gives members access to UK networking events, UK property tours, UK Academy dinners, UK inner circle meetups, and UK community events. The Networking Pass is governed by Samuel Leeds Ltd's own terms and conditions. Samuel Leeds Ltd is not a party to this Contract and is responsible for accounting for UK VAT on the Networking Pass under its own UK VAT registration.
(b) Dealsourcr Free Trial — a complimentary 12-month trial membership of the Dealsourcr platform, provided by Dealsourcr, a separate third-party company in which the Company holds a minority investment. Dealsourcr is operated independently by its own management team and its services are governed by Dealsourcr's own terms and conditions. The Company is not responsible for the availability, operation, content, or continuation of Dealsourcr's platform or services.
6. BUILDING WEALTH WITH PROPERTY
6.1 What BWWP Is
6.1.1 Building Wealth With Property is a live two-day virtual programme delivered by Samuel, Russell, and the mentor team from Dubai, UAE. The training is delivered live and interactively, with live teaching, Q&A, mentoring, and discussion throughout.
6.1.2 During the programme, We may show short case study videos or examples to support the live teaching. These are used to illustrate real-world property scenarios and support the live interactive content. They are not sold or provided as a standalone course.
6.1.3 BWWP is a live interactive professional training programme. No recording of the programme is provided to attendees following the event. No downloadable course materials or slides are distributed as part of the programme.
6.2 Supply of BWWP
6.2.1 The Company shall supply BWWP on the dates published on Our Site at the time the Contract was entered into or as amended from time to time.
6.2.2 The Company will notify you of any changes to dates in reasonable time in advance.
6.2.3 The Company reserves the right to amend the content of BWWP if necessary to comply with any applicable law or regulatory requirement, or if the amendment will not materially affect the nature or quality of the programme.
6.2.4 The Company cannot guarantee the attendance of any particular speaker at any particular session as this will depend on availability.
6.3 BWWP Price and Access
6.3.1 The standard price for BWWP is £97. Where a promotional voucher has been applied, the price payable is the discounted amount shown at checkout.
6.3.2 Access to BWWP is granted automatically following successful payment in accordance with clause 4.
6.4 BWWP Refund Policy
6.4.1 A full refund is available for BWWP provided you have attended the entirety of the programme and you request it directly from a Company representative within one hour of the programme concluding.
6.4.2 This refund policy is offered in addition to, and does not limit, any statutory rights you may have.
7. FINANCIAL FREEDOM CHALLENGES
7.1 What the Financial Freedom Challenge Is
7.1.1 The Financial Freedom Challenge is managed and directed from Dubai, UAE, with live participation from Samuel Leeds and/or the mentor team. Participants are supported by a dedicated property coach during the four-day programme.
7.1.2 The Financial Freedom Challenge is a live professional coaching and implementation programme, not a passive course. Participants are placed in small groups of approximately 12 people and guided through educational property sourcing, analysis, and implementation exercises in their local area over four consecutive days. The Company does not act as agent, broker, valuer, or adviser in respect of any specific property transaction.
7.1.3 Three challenge themes are available: Deal Selling, Buy Refurbish Refinance, and Rent-to-Rent.
7.2 Preparatory Materials
7.2.1 Preparatory reference materials relevant to the specific challenge theme are provided to participants before commencement. These materials are supplementary preparation to help participants engage effectively with the live coaching programme. They are not the primary subject matter of the challenge.
7.2.2 The Company reserves the right to require participants to confirm they have reviewed the relevant preparatory materials before attending, to ensure participants can engage fully with the live implementation environment.
7.3 Financial Freedom Challenge Price and Refund
7.3.1 The standard price for the Financial Freedom Challenge is £2,997. Access is granted automatically following successful payment in accordance with clause 4.
8. PRICE AND PAYMENT
8.1 The Customer shall pay the Price to the Company as set out at the point of purchase.
8.2 The Customer shall make each payment due to the Company in full and in cleared funds on the Commencement Date or as otherwise agreed in writing.
8.3 If the Customer fails to make a payment due to the Company by the due date then, without limiting the Company's other remedies:
8.3.1 the Customer shall pay interest on the overdue sum from the due date until payment of the overdue sum, accruing each day at 4% a year above the Central Bank of the UAE base rate from time to time; and
8.3.2 the Company may suspend all Services until payment has been made in full.
8.4 All amounts due under the Contract shall be paid in full without any set-off, counterclaim, deduction, or withholding.
8.5 Where the Company has agreed that the Customer may pay the Price in instalments, access to Services will be provided in accordance with the instalment schedule confirmed at purchase. Failure to make any instalment payment on its due date will result in suspension of access to Services until payment is received. The Customer remains liable for the full Price agreed regardless of whether they continue to participate in the Services.
9. FINANCIAL RISK
9.1 As a condition of the Company's entry into this Contract, the Customer acknowledges, represents, and warrants their awareness that the Services are designed to provide an insight into the real estate investment market and that any Services provided do not constitute investment advice, regulated financial advice, regulated investment advice, legal advice, tax advice, mortgage advice, or any other form of regulated professional advice within the meaning of applicable law.
9.2 The Company makes no representation or promise as to the financial success or risk of any decision made by the Customer following receipt of the Services. Any decision made by the Customer to buy, sell, or rent a property or to take out any loans or other finance for a property will be the Customer's own decision and the Company shall have no liability as to the outcome.
9.3 Mentors and coaches provide guidance based on their personal property investment experience. They do not act as your agent, representative, or fiduciary. All investment decisions are yours alone.
9.4 Formal legal, tax, mortgage, surveying, or regulated financial advice is provided separately by the relevant licensed professionals under their own professional terms and regulatory obligations. Where the Company facilitates introductions to such professionals through the Power Team, those professionals operate under their own professional terms and are not agents of the Company.
9.5 Property investment involves risk including the risk of financial loss. Past results of Academy members featured in marketing materials or testimonials are not a guarantee of your results. Individual results will vary based on effort, experience, market conditions, and personal circumstances.
9.6 The Company strongly recommends that the Customer obtains independent advice about whether or not to go ahead with any property investment or related transaction, together with the risks and consequences of making any property investment bespoke to their situation.
10. CUSTOMER'S OBLIGATIONS
10.1 The Customer shall:
10.1.1 co-operate with the Company in all matters relating to the Services;
10.1.2 ensure that their details provided at the point of purchase are complete and accurate;
10.1.3 provide the Company with such information and materials as the Company may reasonably require in order to supply the Services;
10.1.4 treat all Company staff, mentors, coaches, contractors, and fellow members with courtesy and respect at all times, whether in person, online, or on any Company platform; and
10.1.5 engage honestly and constructively with all aspects of the Services.
10.2 We encourage you to raise any concerns with us directly first at www.samuelleeds.com/need-help/ so we have a fair opportunity to resolve them before making any public comment.
10.3 If the Company's performance of its obligations under the Contract is prevented or delayed by any act or omission of the Customer, the Company shall not be liable for any costs, charges, or losses sustained or incurred by the Customer that arise directly or indirectly from such prevention or delay, and shall be entitled to payment of the Price despite any such prevention or delay.
11. INTELLECTUAL PROPERTY RIGHTS
11.1 The Company and its licensors shall retain ownership of all Intellectual Property Rights in or arising out of or in connection with the Services.
11.2 The Customer is granted a personal, non-transferable, non-exclusive licence to use the materials provided to them solely for the purpose of their own property investment activities during their membership period.
11.3 The Customer shall not use (other than as permitted under clause 11.2), copy, exploit, modify, or otherwise make use of the Company's Intellectual Property Rights. Recording and/or duplicating of the Company's programmes or events is strictly forbidden.
12. CONFIDENTIALITY
12.1 The Customer shall not at any time disclose to any person any confidential information concerning the business, affairs, customers, clients, or suppliers of the Company.
12.2 The Customer shall not copy, pass on, or disclose any strategies, plans, tactics, schemes, systems, or information provided to them as part of the Services. Recording and/or duplicating of the Company's programmes or events is strictly forbidden.
13. RESTRICTIONS
13.1 The Customer shall not at any time represent themselves as connected with the Company other than to say they received the Services from the Company.
13.2 For a period of 12 months following the expiry or termination of their membership or last programme attended (whichever is later), the Customer shall not directly solicit or recruit other Company members or attendees as clients, students, or customers for any property coaching, training, or mentoring service they may operate. This restriction is specifically limited to the solicitation of existing Company members and does not prevent the Customer from pursuing a career in property investment in the broader marketplace.
13.3 The Customer shall not use any aspect of the Company's platform to promote products or services without the Company's express prior written permission, breach of which will result in removal of material from the Company's platforms and may lead to the Customer's suspension and/or termination from all elements of the Services without recourse to a refund
14. DATA PROTECTION AND DATA PROCESSING
14.1 Promotional filming and photography may occur during live sessions and events. The Customer must inform the Company in advance in writing if they do not wish to be filmed or photographed.
14.2 Further information about how the Company uses the Customer's personal data is available at www.samuelleeds.com/policies/data-protection-policy/.
15. LIMITATION OF LIABILITY
15.1 The Company has obtained insurance cover in respect of its own legal liability for individual claims not exceeding £5,000,000 per claim.
15.2 Nothing in this Contract limits any liability which cannot legally be limited, including but not limited to liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation.
15.3 Subject to clause 15.2, the Company's total liability to the Customer arising under or in connection with this Contract shall be limited to the total Price paid by the Customer to the Company.
15.4 Subject to clause 15.2, the Company shall not be liable to the Customer for: (a) loss of profits; (b) loss of sales, investments, or business; (c) loss of agreements or contracts; (d) loss of anticipated savings; (e) loss of use or corruption of software, data, or information; (f) loss of or damage to goodwill; or (g) any indirect or consequential loss or damage.
15.5 This clause 15 shall survive termination of the Contract.
16. MONEY BACK GUARANTEE
16.1 Academy Results Guarantee. In relation to the Academy, the Company agrees to refund the Price paid by the Customer in full should the Customer fail to derive, within 12 months of joining the Academy, sufficient income from property to cover the cost of the Academy, provided the Customer meets the qualifying criteria set out below.
The guarantee is a conditional participation-based refund mechanism. It is not a guarantee that the Customer will achieve any specific income, profit, property deal, mortgage approval, finance approval, or investment result.
For the purposes of this guarantee, “generated sufficient income” means net cash profit, assignment fees, rental profit, or other realised property income actually received by the Customer and evidenced to the Company. Unrealised capital growth, estimated future income, paper equity, or projected returns do not count unless confirmed in writing by the Company.
To qualify for the refund, the Customer must during their 12-month membership:
- complete their onboarding and personal business planning session;
- complete all three Financial Freedom Challenges — Deal Selling, Buy Refurbish Refinance, and Rent-to-Rent;
- complete at least one mentoring call per month during membership;
- submit evidence of consistent property activity, such as deal sourcing records, viewing records, offer records, call logs, deal analysis submissions, or mentor-reviewed action plans; and
- complete the agreed action plan set during their business planning session, unless formally amended by their mentor.
Refund requests under the guarantee must be submitted within 7 days of the 12-month anniversary of the Commencement Date, accompanied by evidence of completed participation. Refund requests will be reviewed within 14 days.
16.2 Building Wealth With Property. In relation to BWWP, the Company agrees to refund the Price paid by the Customer on the condition that: (a) the Customer has attended the entirety of the programme; and (b) the Customer requests the refund directly from a Company representative within one hour of the programme concluding. This refund policy is offered in addition to, and does not limit, any statutory rights the Customer may have.
17. TERMINATION AND CANCELLATION
17.1 The Company may terminate this Contract by giving the Customer reasonable written notice.
17.2 The Customer may terminate this Contract at any time by giving 7 days' written notice to the Company.
17.3 Where the Customer terminates the Contract under clause 17.2 after the Commencement Date and does not meet the qualifying criteria for the Academy results guarantee under clause 16.1, amounts already paid are non-refundable save at the Company's discretion.
17.4 Either party may terminate the Contract with immediate effect by giving written notice to the other party if:
17.4.1 the other party commits a material breach of the Contract and fails to remedy it within 10 days of that party being notified in writing to do so; or
17.4.2 the other party's financial position deteriorates to such an extent that in the terminating party's reasonable opinion the other party's capability to adequately fulfil its obligations under the Contract has been placed in jeopardy.
17.5 On termination of the Contract for whatever reason:
17.5.1 the Customer shall immediately pay to the Company any outstanding amounts of the Price not yet paid;
17.5.2 the Customer shall return all materials provided to them by the Company and until returned shall be solely responsible for their safe keeping;
17.5.3 any provision of the Contract that expressly or by implication is intended to continue in force after termination shall remain in full force and effect; and
17.5.4 termination shall not affect any rights, remedies, obligations, or liabilities of the parties that have accrued up to the date of termination.
17.6 Nothing in these Terms affects any statutory rights you may have under the laws of your country of residence which cannot be excluded or limited by contract.
18. BEHAVIOUR
18.1 Unreasonable behaviour towards our staff, members, and Company will not be tolerated, including but not limited to: abuse, threats, harassment, discrimination, undue pressure, dealing in bad faith, deceit, and knowingly false, malicious, or defamatory statements. Customers found to have behaved unreasonably may be removed from our programmes immediately without recourse to a refund.
18.2 Customers are required to attend events and sessions on time. Customers who arrive after the start time of any event may be refused entry without recourse to a refund or the right to book an alternative date.
18.3 All customers are required to act in good faith and not to abuse any aspect of the Services. Customers shall not share any resources or enable the sharing of resources, including enabling third parties' attendance at events and sessions without prior written permission. The Company reserves the right to seek financial compensation for any unauthorised activities and to remove customers from its programmes immediately without recourse to a refund.
18A. COMPLAINTS
The Customer shall submit any feedback, questions, or complaints regarding the Services through Our contact page at www.samuelleeds.com/need-help/. The Company will deal with all questions or complaints as quickly as possible and will use its reasonable endeavours to find a satisfactory solution. 19. GENERAL
19.1 Force majeure. Neither party shall be liable for any delay or failure to perform its obligations under this Contract if such delay or failure results from events, circumstances, or causes beyond its reasonable control, including but not limited to internet or platform outages, acts of God, pandemics, epidemics, fire, flood, storm, war, riot, civil commotion, compliance with any law or governmental order, accident, or failure of suppliers or subcontractors. The Company may at its discretion provide alternative dates, formats, or methods of delivering the Services including online delivery.
19.2 Assignment and other dealings.
19.2.1 The Customer shall not assign, transfer, charge, subcontract, or deal in any other manner with any of its rights and obligations under the Contract without the Company's prior written consent.
19.2.2 The Company may at any time assign, transfer, charge, subcontract, or deal in any other manner with any of its rights or obligations under the Contract.
19.3 Entire agreement.
19.3.1 The Contract constitutes the entire agreement between the parties and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations, and understandings between them, whether written or oral, relating to its subject matter.
19.3.2 Each party acknowledges that in entering into the Contract it does not rely on and shall have no remedies in respect of any statement, representation, assurance, or warranty that is not set out in the Contract.
19.4 Variation. No variation of the Contract shall be effective unless it is in writing and signed by the parties or their authorised representatives.
19.5 Waiver.
19.5.1 A waiver of any right or remedy under the Contract or by law is only effective if given in writing and shall not be deemed a waiver of any subsequent right or remedy.
19.5.2 A failure or delay by a party to exercise any right or remedy provided under the Contract or by law shall not constitute a waiver of that or any other right or remedy.
19.6 Severance. If any provision or part-provision of the Contract is or becomes invalid, illegal, or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity and enforceability of the rest of the Contract.
19.7 Third party rights. The Contract does not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of the Contract.
20. GOVERNING LAW AND JURISDICTION
20.1 These Terms and any Contract, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation, shall be governed by and construed in accordance with the laws of the United Arab Emirates as applicable in the Emirate of Dubai.
20.2 Each party irrevocably agrees that the courts of Dubai, UAE shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms or the Contract or their subject matter or formation.
20.3 The Company is incorporated in Dubai and its directors and founders are based in Dubai, UAE. The Company's position is that the core consultancy, mentorship, and live training services are supplied from the United Arab Emirates, reflecting the way the Services are managed, approved, and delivered by UAE-based professionals from Dubai.
20.4 Certain UK-based membership benefits supplied by Samuel Leeds Ltd are governed by English law under Samuel Leeds Ltd's own separate terms and conditions.
20.5 Nothing in this clause affects any mandatory consumer protection rights you may have under the laws of your country of habitual residence that cannot be excluded by contract.
